Director of Corporate M&A Business Development (Buy-side) overview: PlanITROI is seeking a Director of Corporate M&A Business Development (Buy-side) to help drive the organization’s growth and development activities by building and leading a team to, identify, evaluate, and cultivate acquisition opportunities, and lead the transaction process through closure. Work alongside the CEO to provide significant in-depth industry insight and contacts that will enable us to identify potential acquisition candidates, joint ventures, strategic partnerships, and new market opportunities ahead of the competition. This executive will be expected to negotiate favorable attainable terms and ensure organizational objectives are met, as well as advise executives and stakeholders throughout the acquisition process. his role reports to the CEO and CFO.

This role is remote on EST only.

Mission: Lead and grow PlanITROI to greater- than, $35M in EBITDA through Corporate M&A Business Development.

Primary Responsibilities:

  • Build and lead a net new team to research and source new deal flow opportunities through acquisitions.

  • Execute (buy-side) deal structuring, negotiation, comprehensive due diligence, and integration efforts.

  • Support the development of short and long-range business forecasts and M&A marketing plans.

  • Prepare, communicate, and guide the M&A process, timeline, and key deliverables.

  • Monitor and track acquisition targets, including creating company profiles and analysis via pipeline scoreboard.

  • Oversee global 'exploration', defining new markets and market entry strategies.

  • Lead market research; Develop client and competitive profiles, analyze the competitive and bidding landscape (win/loss/bids), and recommend bid-no bid opportunities.

  • Design and execute the outreach program for potential acquisition targets.

  • Ensure partners adhere to legal and operational compliance requirements.

  • Build buyer presentations to educate potential acquisitions on the advantages of joining the PlanITROI and Nextra Tech platform.

  • Assist in buy vs. build analysis, valuation, and execution of M&A transactions.

  • Lead financial modeling and valuation analysis to make bid recommendations.

  • Ensure appropriate focus on and commitment to integration and seamless transition to the Integration team.

  • Prepare and issue for review, Indications of Interest, and or Letters of Intent.

  • Determine appropriate valuation and transaction structure by understanding complex financial models including; income statements, balance sheets, and cash flow statements.

    Requirements & Experience:

  • Master’s Degree in Business/Finance or a similar advanced degree preferred.

  • Proven record facilitating and closing M&A buy-side transactions.

  • Profitable track record of 5+ years of sourcing and closing acquisitions with integration.

  • 5+ years of experience building and leading a team for acquisition & integration.

  • Demonstrated a history of sound leadership and decision-making skills.

  • Professional, assertive, strategic, and negotiating abilities with strong attention to detail.

  • Acute business intuition, and ability to perform in-depth market research and competitive analysis.

  • Strategic rationale, financial modeling, and valuation skills.

  • Comfortable collaborating with teams and clients to solve problems.
